The volume includes a scientifically well-founded and at the same time practically-oriented commentary on association law; furthermore, a general introduction to the law of legal entities is included before § 21 BGB [German Civil Code]. This portion and portions pertaining to association law have been thoroughly revised. The new jurisdiction of the European Court of Justice (ECJ) and the German Federal Supreme Court (BGH) pertaining to recognition of foreign legal entities as well as the new developments with regard to civil law association and the so-called "piercing of the corporate veil" (direct personal liability of an association member) have been taken into consideration in this connection. In addition to up-to-date judicial decisions and literature, the reformed law of obligations, the new insolvency regulations, the reform of the law regulating the transformation of companies, the Registration of Associations Ordinance from 1999 and the 2001 law concerning electronic register have been particularly worked into the commentary on association law.
