Handlungspflichten der Konzernverwaltung im nachgeordneten Bereich am Beispiel Compliance im Konzern

Zusammenfassung

Das konzernspezifische Trennungsprinzip entfaltet zunehmend keine haftungsabschottende Wirkung mehr. Das ist in einer Vielzahl von Rechtsgebieten zu beobachten, nicht nur im europäischen Kartellrecht. Auch für die konzernweite Compliance-Verantwortung der Konzernobergesellschaft kann das Folgen haben. Zwar ist eine generelle Pflicht zur Aufgabe des Trennungsprinzips, mithin ein Ende der Konzernbildungsfreiheit, nicht angezeigt. Die aufgezeigte Entwicklung führt aber zu einer graduellen Verschärfung der Pflichten der Konzernverwaltung im Bereich Compliance. Denn es ist absehbar, dass in einem Haftungsfall der Verbandsvorbehalt auch im faktischen Konzern nur ein schwaches Verteidigungsargument ist.

Abstract

The group-specific principle of segmentation increasingly no longer limits liability. This tendency is to be seen in various areas of law, not only in European competition law. It has also consequences for the group-wide compliance responsibility for the leading entity of the group of companies. Though there is no necessity to generally abandon the principle of segmentation, and hence give up the liberty to organize the business in a group of companies, the development will lead to a gradually increased duty of the group management in the area of compliance. This increased duty of care is due to the prediction that in liability cases even in the de facto group the reservation of the legal segmentation of entities shall serve only as a weak defense argument.
