Die Arbeit bewegt sich an der Schnittstelle von Restrukturierungs- und Kapitalmarktrecht. Sie untersucht zunächst, inwiefern Investoren die neuen Instrumente des StaRUG zur Durchführung von Loan-to-Own-Transaktionen nutzen können. Ferner werden die geltenden Veröffentli-chungspflichten, vor allem des Kapitalmarktrechts, analysiert. Inwiefern ein Eingreifen des Ge-setzgebers notwendig ist, beantwortet das Werk differenziert und mit besonderem Augenmerk auf den Schutzzwecken der deutschen und europäischen Transparenzvorschriften. Zuletzt stellt die Arbeit Überlegungen zu wichtigen Eckpunkten einer etwaigen Reform an.
