Abstract

Due to financial restrictions, local authorities increasingly try to outsource public services. In this case, cooperatives can provide an appropriate framework. There are numerous examples of recently founded cooperatives which assist or even replace public local authorities in providing public services. This article discusses cooperative perspectives in the field of energy supply. It also proposes a strategy to identify opportunities and obstacles of cooperative solutions if a sustainable economy is the primary goal. Résumé Un certain nombre de services municipaux de base ne peuvent plus être assurés par des collectivités financièrement exangues. Les coopératives peuvent présenter des solutions. Il existe ainsi de nombreux exemples récents de création de coopératives avec l’aide de municipalités souhaitant externaliser tel ou tel service. Cet article s’attache à décrire les perspectives pour les coopératives œuvrant dans le secteur énergétique. Il conclut en analysant les opportunités et les obstacles des solutions coopératives au défi du développement durable (participatif, écologique, socialement responsable).

Abstract

Since several decades we observe a growing heterogeneity of primary cooperatives which manifests itself in dimensions like firm size, economic focus and a turning away from the regional principle. The traditional cooperative network is increasingly modified as it now incorporates competitive aspects too. Reviewing this development, we construct a hypothetical case where a merger of primary cooperatives of different size is discussed. Industrial economics as well as the theory of public goods serve as guidelines. Résumé Une plus grande hétérogénéité parmi les coopératives de premier niveau est observable ces dernières décennies, qu’il s’agisse de leur taille, de leur orientation commerciale ou de leur caractère régional. Le réseau coopératif est davantage traversé par des logiques concurrentielles qu’à l’origine. Partant de ce constat, le présent article interroge les conditions de possibilité de regroupement de diverses coopératives d’une même région en une plus grande entité. L’hypothèse est posée à partir des théories du marché, des prix et des biens collectifs.

Abstract

This article discusses practical experience and problem-solving approaches regarding mergers of cooperative banks from a lawyer’s viewpoint. The main focus hereby is on the preparation of the process of a merger and the proper communication of the contents of the fusion contract. Regarding the merger process, the author points out potential problems and presents practical solutions. Résumé La présente contribution étudie des résolutions concrètes de problèmes posés par des fusions de banques coopératives, sous l’angle des cabinets d’avocat qui ont accompagné ces processus, de l’amont à la réorganisation jusqu’à la communication des documents finaux. L’auteur pointe des « pièges » qui peuvent conduire à des erreurs et, fort de ces expériences, propose des pistes pour mener à bien ces processus de fusion.

Abstract

The recently modified German cooperative legislation now permits investors to become members of cooperatives according to the statute of a cooperative. The question is, whether the idea of “investing members” contradicts the principle of member promotion. We deny this question because the function of investing members is closely tied to the purpose of member promotion legally. Therefore, it is not possible to statutory restrict or deny the right to vote of investing members. Résumé La capacité d’admettre des investisseurs comme membres statutaires ne contredit pas l’idée de base des coopératives, celle de la promotion de leurs membres. Les actionnaires sont liés au but de promotion du § 1 du droit coopératif allemand et ne disposent pas d’un droit prioritaire à une part du bénéfice réalisé par rapport aux membres traditionnels. Il n’est pas possible de leur restreindre ou de leur refuser leur droit de vote (§ 8 du droit coopératif allemand).

Abstract

Regarding agricultural cooperatives in Poland, thispaper addresses the fundamental question of the determinants of entrepreneurial success. We therefore collect data from 62 agricultural cooperatives. It can be shown, that the variables “leadership strength”, “former business contacts”, and “election and number of members” all have a strong positive impact on the likelihood of the economic success. Résumé Le présente travail pose une question fondamentale : pourquoi certaines structures coopératives réussissent sur les marchés agricoles alors que d’autres échouent ? Pour y répondre, des informations ont été recueillies sur 62 organisations de coopératives d’agriculteurs polonais appelées « groupes de producteurs ». Des variables telles que le leadership, les rapports commerciaux antérieurs, la qualité des membres fondateurs et le nombre de sociétaires ont un impact positif sur la probabilité de succès des organisations étudiées.

Who is behind the ZfgG?

The ZfgG is the only internationally distributed German-language periodical to deal with the study of co-operatives. It was first published in 1950 by members of the Institute for Research into Co-operatives at the University of Erlangen. Today, a number of professors and research institutes in Germany, Switzerland and Austria are responsible for the publication.

What is the ZfgG?

The ZfgG is an academic discussion forum for the legal, sociological and economical aspects of co-operatives. Work is judged to be academic not by virtue of its origin within a university, but by its style and quality. Close contacts with the real world of co-operatives is vital.
