Abstract

Elinor Ostrom was awarded the 2009 Nobel Memorial Prize in Economic Sciences, which she shared with Oliver Williamson. Both are considered leading scholars in the field of economic governance and the analysis of common pool resources. Research on cooperatives in general has been heavily influenced by Ostroni and Williamson. This article surveys arguments and concepts of Ostrom’s scientific contributions which may be useful for the advancement of cooperative economic and political theories. Résumé Le prix Nobel d'économie (2009) a été attribué à Elinor Ostrom et Oliver E.Williamson pour leur apport exceptionnel à une meilleure compréhension de la gouvernance économique des coopératives. Ces deux chercheurs ont ouvert de nouveaux champs d’investigation, et ils ont grandement influencé la science coopérative. Cet article reprend les thèses fondamentales des travaux d’Ostrom et les étapes de leur mise en oeuvre. Il souligne également des aspects qui pourraient s’avérer utiles pour le développement ultérieur de la recherche académique sur les coopératives.

Abstract

This article surveys and discusses the consequences of the recently introduced German Act to Modernize Accounting, Reporting and Audi ting (BilMoG) on the annual financial statement of a cooperative firm. Discrepancies regarding the accounting standards due to commercial law and the profit determination for tax purposes will be of particular interest. Résumé L’établissement des bilans annuels au 31 décembre 2010 permettra de prendre la mesure des effets de la BilMoG. Les conséquences de l’intervention du législateur dans les règles de comptabilité commerciale et de bilan sont d’une dimension comparable à celle des bouleversements provoqués par la loi directive des bilans (BiRiLiG) en 1985. Le présent article s’intéresse à l’impact de la BilMoG sur le bilan annuel d’une coopérative. Les divergences potentielles entre les règles de la comptabilité commerciale et la recherche d’un gain fiscal sont particulièrement intéressantes.

Abstract

Finland’s Banking System has been severely distressed by a crisis beginning in the early 1990s. Even cooperative banks were seriously affected. However, the cooperative sector successfully recovered from the crisis and profited from the even worse situation of the savings banks. The Finnish concepts of reorganization may serve as a model for other countries during the current financial crisis. Résumé Au début des années 1990, le système bancaire finlandais a été ébranlé par une grave crise, qui n’a pas épargné les banques coopératives. Pourtant, celles-ci ont profité des difficultés encore plus grandes rencontrées par les Caisses d’Epargne, et elles sont finalement sorties renforcées de la crise. Toutefois, une division survenue à la suite de la crise au sein du mouvement des banques coopératives a assombri leur image. Les solutions adoptées en Finlande servent aujourd’hui de modèle pour faire face à la crise actuelle du marché financier.

Abstract

Many cooperatives have developed from small-scale cooperative ventures to larger firms which are now parts of global firms. The economic structures under which such cooperatives operate are heterogeneous. The attempt of this article is to systematize the basic group and holding structures as well as to outline the existing holding structures. Résumé De nombreuses coopératives sont passées du stade de la petite entreprise associative à un groupe d'envergure parfois internationale. Il en résulte des structures très hétérogènes, qui travaillent avec les coopératives basées en Allemagne. Cet article tend à une analyse systémique d'un groupe fondamental et des structures participatives des coopératives en Allemagne. Il offre également un panorama des structures participatives actuellement existantes.

Abstract

Zusammenfassung Die Rechtsprechungsübersicht des Jahres 2009 berücksichtigt wie gewohnt in erster Linie Urteile der Zivilgerichte zum Genossenschaftsgesetz (GenG). Die Gerichte hatten sich auffällig oft mit den genossenschaftsspezifischen Problemen in der Insolvenz der Mitglieder zu beschäftigen. Die Urteile, die sich mit Problemen der genossenschaftlichen Vorstände und Aufsichtsräte auseinandersetzten, waren hingegen rückläufig. Die Besonderheiten der Rechtsform der eingetragenen Genossenschaft werden von allen Gerichten berücksichtigt und es wird sehr genau beurteilt, ob die Rechtsform nur das äußere Rechtskleid abgibt oder ob der genossenschaftsspezifische Zweck gelebt wird. Kommt die Rechtsprechung zum Ergebnis, dass es sich um eine reine Kapitalbeteiligung mit ausschließlicher Renditeerwartung handelt, wird diese Genossenschaft auch wie eine Kapitalgesellschaft von den Gerichten behandelt. Im Umkehrschluss sind diese Urteile aber auch Beleg dafür, dass die in der genossenschaftlichen Literatur gerne geführte Diskussion über die Existenzberechtigung der eingetragenen Genossenschaft als eigene Rechtsform mit einem klaren „Ja“ zu beantworten ist.

Who is behind the ZfgG?

The ZfgG is the only internationally distributed German-language periodical to deal with the study of co-operatives. It was first published in 1950 by members of the Institute for Research into Co-operatives at the University of Erlangen. Today, a number of professors and research institutes in Germany, Switzerland and Austria are responsible for the publication.

What is the ZfgG?

The ZfgG is an academic discussion forum for the legal, sociological and economical aspects of co-operatives. Work is judged to be academic not by virtue of its origin within a university, but by its style and quality. Close contacts with the real world of co-operatives is vital.
