Abstract

In the course of the financial crisis, regulatory authorities have placed liquidity and liquidity risk management in the centre of considerations. The corresponding minimum requirements with regard to risk management (MaRisk) have to be implemented by financial institutions until the end of 2011. This paper shows that the implementation of MaRisk in cooperative banks may benefit from the cooperative business model. Résumé Suite à la crise financière, la liquidité et la gestion des risques de liquidité sont passées au premier plan auprès des autorités de contrôle. Les minimums requis correspondants de la gestion de risques (MaRisk) doivent être obligatoirement intégrés par tous les instituts de crédit jusqu’à la fin 2011. Cette contribution présente les avantages de la réalisation du MaRisk de la gestion des risques de liquidité des coopératives de crédits résultant du modèle coopératif au niveau de l’organisation ainsi qu'au niveau opérationnel et financier.

Abstract

This paper addresses the question, which cooperative auditing federation is entitled to conduct the annual compulsory audit in the case of a multi-membership of a primary cooperative. Is the senior auditing federation automatically competent if the right to inspection has not been withdrawn via (partial) cancellation of membership? Is the cooperative free to choose the auditing federation ? If so, which company organ is entitled to act on behalf of the cooperative? Résumé Cet exposé traite de la question suivante: quelle association d’examen des comptes est autorisée à réaliser le contrôle légal selon le § 53 GenG (Droit allemand des coopératives) lorsqu’une coopérative est membre de plusieurs association d’examen. Est-ce la plus ancienne association qui en est automatiquement chargée si le droit d’examen ne lui est pas retiré par le biais d’une résiliation (partielle ou complète) de son affiliation? Ou la coopérative a-t-elle le droit de choisir librement? Et dans ce cas, quelle instance de la coopérative est accréditée à remplir cette fonction?

Abstract

German cooperative legislation does not precisely specify the principle of member-promotion. This problem also applies to newly founded cooperatives, for example cooperatives in the field of renewable energies. The purpose of this paper is therefore to extract potential membership benefits of such cooperatives via an empirical investigation of energy coops in Germany. Résumé N’étant pas précisé par le législateur, le mandat coopératif de promotion des intérêts soulève fréquemment des questions au niveau de la science et de la pratique concernant sa mise en oeuvre. Cela est aussi valable pour de nouveaux domaines d’action des coopératives comme le domaine des énergies renouvelables. L’objectif de la présente contribution est d’analyser les possibilités de prestation promotionnelles venant de telles coopératives, il faut préciser qu’une enquête empirique, menée dans l’ensemble des Länder, constitue la base de la présente analyse.

Abstract

Zusammenfassung Die Rechtsprechungsübersicht des Jahres 2010 berücksichtigt wie gewohnt in erster Linie Urteile der Zivilgeriehte zum Genossenschaftsgesetz (GenG). Im Gegensatz zu den letzten Jahren, in denen sieh Gerichte auffällig oft mit genossenschaftsspezifisehen Problemen in der Insolvenz der Mitglieder zu beschäftigen hatten, nehmen nun die Probleme in der Insolvenz der Genossenschaft zu.

Who is behind the ZfgG?

The ZfgG is the only internationally distributed German-language periodical to deal with the study of co-operatives. It was first published in 1950 by members of the Institute for Research into Co-operatives at the University of Erlangen. Today, a number of professors and research institutes in Germany, Switzerland and Austria are responsible for the publication.

What is the ZfgG?

The ZfgG is an academic discussion forum for the legal, sociological and economical aspects of co-operatives. Work is judged to be academic not by virtue of its origin within a university, but by its style and quality. Close contacts with the real world of co-operatives is vital.
