Redress in Europe and the Trap under the CESL

Abstract

While redress in chains of contracts is addressed by Directive 1999/44 (Consumer Sales Directive) and the Member States’ national laws implementing the former, the European Commission proposal for a Common European Sales Law (CESL) does not provide for any redress safeguards. Rather, it appears that the CESL overlooked the issue. Considering that the CESL is an opt-in instrument and that its primary goal is to protect and encourage small and medium sized companies (SME) to make the most out of the internal market, the CESL’s non-approach to the redress issue may prove to be a significant hindrance to an opt-in. After setting out the context of liability in chains of contracts and assessing the potential approaches to it, the article discusses the specific problems of redress in cross-border cases before examining more closely the CESL’s approach to redress scenarios and possible solutions to the problem. The examination of the redress issue as a matter of substantive law is supplemented by an excursus on the procedural safeguards of redress in cross-border cases. Résumé Alors que la question des recours dans les chaînes de contrats est traitée par la directive 1999/44 sur certains aspects de la vente et des garanties des biens de consommation ainsi que par les droits nationaux transposant cette directive, la proposition de règlement sur un droit commun européen de la vente de la commission européenne n’énonce aucune garantie pour ces recours. Il apparaît au contraire que le projet de règlement européen sur la vente ait oublié cette question. Étant donné que le projet de règlement européen sur la vente est un instrument optionnel et que son but initial était de protéger et d’encourager les petites et moyennes entreprises, et de tirer le meilleur parti du marché intérieur, le fait que le projet de règlement n’ait pas traité de cette question des recours pourrait se révéler un obstacle important à la décision d’opter pour ces règles. Après avoir posé le contexte de la responsabilité dans les chaînes de contrats et évalué les différentes approches possibles, cet article aborde les problèmes spécifiques de ces recours dans les cas trans-frontières avant d’examiner plus précisément l’approche du projet de règlement s’agissant des différents recours et des solutions possibles à ce problème. L’analyse de cette question des recours comme une problématique de droit substantiel est renforcée par l’examen des garanties procédurales de ces recours dans les cas trans-frontières. Zusammenfassung Während der Regress in Lieferketten sowohl von der Richtlinie 1999/44 (Verbrauchsgüterkaufrichtlinie) als auch den nationalen Umsetzungen geregelt wird, enthält der Vorschlag der Europäischen Kommission für ein Gemeinsames Europäisches Kaufrecht (GEKR) keinerlei Regresssicherungen. Es scheint, dass die Kommission das Problem schlicht übersehen hat. Berücksichtigt man, dass das GEKR von einem opt in der Parteien abhängt und dass das vordringliche Ziel des GEKR darin besteht, kleine und mittlere Unternehmen (KMU) zu schützen und dazu beizutragen, dass diese die Möglichkeiten des Binnenmarktes durch grenzüberschreitenden Handel nutzen, könnte sich die Regelungslücke des GEKR im Hinblick auf den Regress als schwerwiegendes Hindernis für eine Wahl des GEKR erweisen. Die Autoren erörtern zunächst den Kontext des Regresses in Lieferketten und bewerten die möglichen Lösungsmodelle. Sie gehen anschließend auf die spezifischen Probleme des Regresses in grenzüberschreitenden Fällen ein, untersuchen die Problematik des Regresses bei Geltung des GEKR und erörtern mögliche Lösungen. Den Abschluss bildet ein Exkurs zu den prozessualen Sicherungen des Regresses in grenzüberschreitenden Fällen.

Consequences of an Ineffective Agreement to Use the Common European Sales Law

Abstract

In order to opt in to the proposed Common European Sales Law, the parties must utilise the mechanism set out in the Regulation, in accordance with which they ‘agree to use the CESL’ and thus subject their contract to the CESL. This article examines an issue that has so far received little attention: the question of how the agreement to use CESL and the contract under CESL interact. Given the formal requirements that the agreement to use CESL is subject to, the agreement to use the CESL may easily suffer from a defect. The parties may then purport to conclude a contract governed by the CESL, but without a fully effective agreement that the CESL applies to it. In such circumstances the question arises whether that contract may still be effective under the CESL or under national law, in particular where the parties have performed their (perceived) obligations. Résumé Afin d’opter pour le projet de règlement relatif à un droit commun européen de la vente, les parties doivent utiliser le mécanisme mis en place par celui-ci, selon lequel elles acceptent d’utiliser le projet de règlement et soumettent ainsi leur contrat à celui-ci. Cet article examine une question qui a reçu jusqu’ici peu d’attention: celle de savoir comment interagissent l’accord pour utiliser le règlement sur la vente et le contrat de vente lui-même. Étant donné les conditions formelles que doit remplir l’accord pour utiliser le règlement sur la vente, celui-ci peut facilement souffrir d’un défaut. Les parties peuvent alors prétendre néanmoins conclure un contrat régi par le règlement sur la vente mais sans un accord complètement efficace sur l’applicabilité de ce règlement. Dans de telles circonstances, la question se pose de savoir si le contrat peut encore être effectif sous l’empire du règlement ou du droit national, en particulier lorsque les parties ont exécuté leurs obligations (telles qu’elles les percevaient). Zusammenfassung Nach dem Vorschlag der Kommission müssen die Parteien, um ihren Vertrag dem Gemeinsamen Europäischen Kaufrecht zu unterstellen, vereinbaren, dass das GEK für den Vertrag verwendet werden soll. Der vorliegende Beitrag behandelt eine Frage, die bisher wenig Beachtung gefunden hat, nämlich diejenige nach dem Zusammenwirken von Verwendungsvereinbarung und Vertrag nach dem GEK. Angesichts der strikten formalen Voraussetzungen für eine wirksame Verwendungsvereinbarung kann es leicht passieren, dass diese an einem Defekt leidet. In einem solchen Fall, einer (unerkannt) unwirksamen Verwendungsvereinbarung mögen die Parteien gleichwohl in der Absicht fortfahren, einen Vertrag nach dem GEK zustande zubringen. Hier stellt sich die Frage, ob und inwiefern dieser Vertrag nach dem GEK oder nach dem anderweitig anwendbaren nationalen Recht wirksam sein kann, inbesondere wenn die Parteien ihre (vermeintlichen) Verpflichtungen erfüllt haben.

The Unfair Contract Terms Directive through the Practice of the Court of Justice of the European Union: Interpretation or Something More?

Abstract

The paper discusses the practice of the Court of Justice of the European Union (CJEU) concerning implementation and interpretation of 1993 Unfair Contract Terms Directive (UCTD) into national legislation of Member States. After determining the basic legal principles that underline the need for establishing common European legal rules on substantive control of unfair contract terms, the case law of the CJEU on implementation and interpretation of the UCTD is analysed. Although the practice of the CJEU has been rather commendable, identified shortcomings of the UCTD seem to limit the impact of case law as the legislator has failed to establish a fully functional and harmonized system of substantive control that will satisfy the requirements of the internal market. Therefore, the practice of the CJEU seems not be limited to interpretation only and reveals certain shortcomings of the UCTD. Such identification can certainly serve as a catalyst for future legislative attempts. Résumé Cet article discute la pratique de la Cour de Justice de l’Union Européenne (CJUE) relative à la mise en œuvre et à l’interprétation de la directive de 1993 sur les clauses abusives dans les législations nationales des États membres. Après avoir déterminé les principes juridiques de base qui soulignent le besoin d’établir des règles juridiques européennes communes de contrôle substantiel des clauses abusives, l’article analyse la jurisprudence de la CJUE sur la mise en œuvre et l’interprétation de la directive. Bien que la pratique de la CJUE ait été plutôt louable, des défauts identifiés de la directive semblent limiter l’impact de cette jurisprudence car le législateur n’a pas réussi à établir un système totalement fonctionnel et harmonisé de contrôle substantiel qui puisse satisfaire les exigences du marché interne. Dès lors, la pratique de la CJUE ne semble pas limitée à la seule interprétation et révèle certains défauts de la directive. Une telle identification peut certainement servir de catalyseur pour de futures tentatives législatives. Zusammenfassung Der Beitrag diskutiert die EuGH-Rechtsprechung zur Umsetzung der AGB-Richtlinie von 1993. Zuerst werden die Grundideen in den Blick genommen und hier insbesondere das Vereinheitlichungsinteresse, dann das Fallrecht im Einzelnen. Obwohl dieses Fallrecht weitgehend überzeugt, führten doch (wohl bekannte) Schwächen der Richtlinie dazu, dass sich kein gänzlich funktionstüchtiges harmonisiertes System einer inhaltlichen Kontrolle ausgebildet hat, das auch den Binnenmarktanforderungen genügen würde. Insbesondere beschränkt sich der EuGH daher auch nicht auf eine Interpretation der Richtlinie, sondern greift auch korrigierend ein. Die Analyse der Schwächen bereitet auch den Boden für zukünftige Reformen.

About this journal

This Journal deals with contract law and serves as a pan-European platform for discussion and analysis. The concept of a European Contract Law is still rather recent: the phrase was first coined in the 1990s. Since the early 2000s when this journal was created, European Contract Law has come to encompass an increasingly comprehensive body of law. There were three driving forces behind this development: the EC harmonisation of laws in the area of the internal market, a generally increased interest in comparative law discussions in contract law, and the European Commission’s Communication on European Contract Law, the Commission’s Action Plan and the Common Frame of Reference process. These developments brought about a changed climate of discussion. The foundations of contract law, examined from many perspectives and in view of various national legal systems and an increasing number of disciplines, are currently being discussed in great detail in the European arena. In 10 years contract law may be the first area of European private law to be regulated in a fully fleshed out European Code.

European Contract Law comprises diverse areas of the law such as sales, standard contract terms, distribution chains, marketing practices, research and development agreements, contract law copyright aspects, financial and investment services contracts, insurance contracts and e-commerce as well as non-discrimination within and beyond labour law and more generally, important aspects of labour contracts and other symbiotic contracts.

The importance and breadth of the field and the methods and questions involved are such that ERCL has established itself as the specialised European journal in this area. Since 2004 the standard of information and discussions on this platform have been consolidated: ERCL discusses the body of law in three sections: articles, case law, and literature on EC Contract Law. This takes place mainly in book reviews and, in addition, contains short sections on the most recent EC legislation, sectoral developments, national developments and other news. The Review focuses on existing law at the EC level and all rules influencing the formation, content and execution of contracts from default rules to regulation, from marketing aspects to the content of contracts, from consumer (and also labour) law to general contract law. The Review is open to a variety of approaches and provides the opportunity to read traditional 'dogmatic' explanations of the upcoming and existing law, assessments through comparative law studies as well as economic analysis and discussions of the philosophical foundations and major structural features. The Review is and has been the site of intense discussion of proposals for codification or, more generally, systemisation and comprehensive development of contract law at the EC level. The European Contract Law Code is too realistic an option and much too important not to be thoroughly discussed as transparently as possible with as many competing ideas and approaches as possible. Several special issues have followed this process in great detail. The journal is meant to help in establishing a functional market of ideas in one of the core areas of private law and one of the most important areas of European private law. ERCL is the journal covering this large body of law and the modern solutions to the problems encountered.
