Gegenstand des Gesprächs war die zukünftige Entwicklung der Genossenschaften, insbesondere im Hinblick auf die GenG- Novelle des Jahres 2006 sowie die aktuelle Finanzmarktkrise.

Abstract

Cooperative firms will be successful in the future if they act according to their specific strengths. Sustainability, common goals, democratic member participation, flexible market entry and exit options are characteristic elements of cooperations. Traditionally, such firms have considerable potential to counteract or even correct market failure. Macroeconomically, they are a stabilizing factor, particularly if an economy faces increasingly rapid socio-economic changes. Résumé Les sociétés coopératives sont des sociétés d’avenir. En tout cas, si elles sont mises en place selon leurs forces. Elles se révèlent comme forme juridique adéquate quand la persistance, des interets équivalents, une participation des members démocratique ainsi que des possibilités d’entree/de départ flexibles sont souhaités. Traditionellement, les sociétés coopératives sont fortes là, où les marchés échouent. Notamment en temps de changements sociaux et économiques accrus, les sociétés coopératives constituent une ancre de stabilité importante pour l’économie.

Abstract

The amendment of the German federal cooperative law in 2006 has increased the attractiveness of cooperatives, in particular with respect to the formation of a cooperative firm. This also applies to the foundation of labour-managed firms with a restricted number of members. Primarily, greater attractiveness is due to a reduced minimum number of founding members. On the other hand, revised regulations regarding the board of directors and the supervisory board also contributed to greater attractiveness. Résumé Grâce à l’amendement de la loi coopérative, la forme juridique des coopératives est devenue plus attractive et la fondation de coopératives s’est facilitée. Cela vaut aussi pour les coopératives de production, c’est à dire la création d’activités indépendantes en groupes restreints. Ce gain d’attractivité est principalement attribué à la réduction du nombre minimum des membres, mais aussi au nouveau règlement concernant le comité de direction et le conseil de surveillance.

Abstract

Regions can promote their development by implementing cooperative relationships. This can be exemplified by a regional energy supply, which is located closely to the place of residence. The most relevant criteria in this context are environmental protection as well as the supply of safe energy. Moreover, it is equally important to keep in mind the impact on the quality of life, the innovativeness of technologies and the consequences regarding the competitiveness of regions. If cooperative solutions are compared with existing non-cooperative models, it can be shown, that there is considerable potential for cooperative approaches, which are not yet fully exploited. Résumé Les régions peuvent promouvoir leur développement par la mise en place de relations coopératives. Cela peut être illustré par l’approvisionnement énergétique régional, qui est localisé près du domicile. Les critères les plus importants dans ce contexte sont la protection de l’environnement et du climat ainsi que la sécurité de l’approvisionnement en énergie. En outre il est également nécessaire de ne pas négliger l’impact sur la qualité de vie, les innovations technologiques et les conséquences par rapport à la compétitivité des régions. Si les solutions des coopératives sont comparées aux modèles existant non coopératifs, il peut être démontré que le potentiel des approches coopératives est loin d’être exploité complètement.

Abstract

The amendment of the German federal cooperative law became operative in 2006. It has far-reaching consequences and has positively affected the number of newly founded cooperative firms. This paper studies selected aspects of the revised law and analyzes their impact on the attractiveness of cooperations. The need for further improvements of the legal framework is also discussed. Résumé L’amendement de la loi coopérative allemande est entré en vigueur il y a presque trois ans, le 18.08.2006. Elle contient les modifications les plus étendues du droit coopératif depuis des siècles et commence à être mise en pratique. De toute façon, il semble que le nombre de nouvelles fondations coopératives augmente. Cet article analyse des aspects sélectionnés du droit coopératif après l’amendement, tire des conclusions de l’attractivité de la forme juridique des coopératives et propose enfin de futures mesures à prendre.

Abstract

The most distinctive feature of a German cooperative firm is the principle of member-promotion, the so-called „Forderauftrag“. A cooperative firm is thus characterized by a member-customer identity. Consequently, the goal of cooperative firms is not profit maximization, but just cost coverage. Profits have to be reimbursed to the members. The executive board of a cooperative firm is committed to act according to these principles, which implies unequal treatment of members and nonmembers. A cooperative firm, which is at variance with these principles, can and must be dissolved. Otherwise, a change of the legal form is unavoidable. Résumé La particularité la plus distinctive d’une coopérative allemande est l’art et la manière de promouvoir les membres. Une coopérative est caractérisée par une double identité: membre et client. Par conséquent, l’objectif d’une coopérative n’est pas la maximalisation des profits mais seulement la couverture des coûts. Les profits doivent ainsi être redistribués aux membres. Le comité de direction est engagé à agir en fonction de ces principes, ce qui implique un traitement inégal des membres par rapport à ceux qui ne le sont pas. Si une coopérative ne respecte pas ces principes, elle peut et doit être dissoute. Changer de forme juridique peut être une alternative.

Further successful development of industrial cooperatives requires increased internationalization. the need for permanent performance improvements and a high degree of acceptance on the part of the member firms. The cooperative federations need to strengthen their auditing and consulting capacities, which have to be future-oriented as well as in accordance with competition laws. Résumé Internationalisation, concentration, amélioration constante de la performance et une grande acceptation de la part des entreprises partenaires assurent un développement positif des coopératives industrielles. Les fédérations de coopératives doivent s’adaptera de plus hautes exigences concernant l’audit et le conseil pour développer une offre conforme au marché et orientée vers le futur.

Who is behind the ZfgG?

The ZfgG is the only internationally distributed German-language periodical to deal with the study of co-operatives. It was first published in 1950 by members of the Institute for Research into Co-operatives at the University of Erlangen. Today, a number of professors and research institutes in Germany, Switzerland and Austria are responsible for the publication.

What is the ZfgG?

The ZfgG is an academic discussion forum for the legal, sociological and economical aspects of co-operatives. Work is judged to be academic not by virtue of its origin within a university, but by its style and quality. Close contacts with the real world of co-operatives is vital.
