Abstract

The German cooperative principle of member promotion is generally not well defined. In some cases, this leads to a rejection of the promotion principle as a guideline because of its vagueness. As a consequence, cooperatives may serve other target groups. This article counters a blurred concept of member promotion and discusses several approaches to precisely specify what member promotion really intends. Résumé Il existe toujours une tension entre l’étude du fonctionnement d’une coopérative particulière et le principe coopératif allemand de promotion des intérêts de leurs membres, principe délicat à définir précisément et partant difficile à faire vivre. Cela conduit parfois à privilégier les relations contractuelles avec des tiers, au détriment du principe de promotion. Cet article expose globalement le principe de la promotion des intérêts des membres et examine plusieurs approches précises de cette notion.

Abstract

Regarding mergers of cooperatives, the valuation of companies is an appropriate instrument to evaluate merger strategies as well as to determine a fair exchange ratio of shares according to the German transformation code. Value-based exchange ratios may uncover the true pecuniary circumstances and thus prevent an unwitting impairment of the members of a cooperative. Résumé L’évaluation de la valeur des sociétés permet d’adapter au mieux les stratégies de fusion coopérative en déterminant notamment un ratio équitable d’échange de parts conforme au code de transformation allemand. Ces approches peuvent permettre de faire la lumière sur les situations financières réelles des coopératives et empêcher ainsi de léser involontairement les intérêts de leurs membres.

Abstract

This article discusses the price formation in agricultural markets using the price determination in the cooperative dairy industry as an example. Contrary to traditional hypotheses, an empirical investigation shows that the members of dairy cooperatives do not have direct control over payout-prices. Résumé Cet article traite de la formation des prix dans les coopératives de « l’agrobusiness » à partir de l’exemple des industries coopératives laitières. Cette étude empirique permet d’identifier plusieurs facteurs influant sur la formation des prix. Il en ressort que, contrairement aux mécanismes coopératifs classiques, les membres des coopératives laitières n’ont pas de contrôle direct sur les prix.

Abstract

Paragraph 266 of the German criminal code serves as a proxy regulation for dubious economic transactions in the case of missing specific regulations. Jurisdiction and literature provide a vast array of interpretations regarding paragraph 266. In this context, embezzlement at the expense of legal persons is most significant. However, contributions regarding cooperatives are largely missing. This is quite surprising, as it does not correspond to the growing importance of the cooperative sector. This article is an attempt to close this gap. Résumé En cas d’absence de réglementation spécifique, le paragraphe 266 du Code pénal allemand permet de combler une lacune lors du règlement des transactions économiques douteuses. La jurisprudence et la littérature proposent de très nombreuses interprétations du ce paragraphe 266. Mais très peu concernent les coopératives. Avec l’importance croissante du secteur coopératif, ce silence est problématique. Cet article propose quelques pistes pour remédier à cette situation.

Who is behind the ZfgG?

The ZfgG is the only internationally distributed German-language periodical to deal with the study of co-operatives. It was first published in 1950 by members of the Institute for Research into Co-operatives at the University of Erlangen. Today, a number of professors and research institutes in Germany, Switzerland and Austria are responsible for the publication.

What is the ZfgG?

The ZfgG is an academic discussion forum for the legal, sociological and economical aspects of co-operatives. Work is judged to be academic not by virtue of its origin within a university, but by its style and quality. Close contacts with the real world of co-operatives is vital.
